Future Mill Limited ("we", "us", or "our") operates SquirrelStack (the "Service"), a suite of tools for running SaaS applications including analytics, help desk, CRM, uptime monitoring, and project management. By accessing or using the Service, you agree to these Terms of Service (the "Terms").
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Eligibility
The Service is intended for use by businesses and individuals who are at least 18 years old. By using the Service, you represent that you meet this requirement.
3. Accounts
3.1 Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
3.2 Account Types
An account may have multiple team members. The account owner is responsible for managing team membership, permissions, and billing.
3.3 Account Security
You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account. We are not liable for losses arising from unauthorised use where you have failed to safeguard your credentials.
4. Use of the Service
4.1 Permitted Use
You may use the Service for its intended purpose: managing and operating your SaaS application. You agree to use the Service in compliance with all applicable laws and regulations.
4.2 Prohibited Use
You must not:
- Use the Service to violate any law, regulation, or third-party right
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to send unsolicited communications (spam)
- Attempt to gain unauthorised access to other accounts or systems
- Use the Service in a way that could damage, disable, or impair it
- Resell or redistribute the Service without our prior written consent
4.3 API Usage
Access to the Service's APIs is subject to reasonable rate limits. We may restrict or suspend API access if usage is excessive or disruptive.
5. Your Data
5.1 Ownership
You retain all rights to the data you upload, store, or process through the Service ("Your Data"). We do not claim ownership of Your Data.
5.2 Licence
You grant us a limited licence to use, process, and store Your Data solely to provide, maintain, and improve the Service for you.
5.3 Data Processing
We process Your Data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. We act as a data processor for the data you submit to the Service and as a data controller for account and billing information.
5.4 Backups
While we take reasonable measures to protect Your Data, you are responsible for maintaining your own backups. We are not liable for data loss except where caused by our negligence.
6. Billing and Payment
6.1 Plans and Pricing
The Service is offered on a subscription basis. Current plans and pricing are available on our pricing page. All prices are in GBP (British Pounds) and exclude applicable taxes.
6.2 Payment
Payments are processed through Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current.
6.3 Changes to Pricing
We may change our prices with at least 30 days' written notice. Price changes will take effect at the start of your next billing cycle after the notice period.
6.4 Refunds
If you cancel within the first 14 days of a new subscription, you may request a full refund. After that, subscriptions are non-refundable. You will retain access until the end of your current billing period.
7. Cancellation and Termination
7.1 Cancellation by You
You may cancel your subscription at any time from your billing settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.
7.2 Termination by Us
We may suspend or terminate your account if you:
- Breach these Terms
- Fail to pay outstanding fees
- Use the Service in a way that is harmful to us or other users
We will provide reasonable notice where possible, except in cases of serious breach.
7.3 Effect of Termination
Upon termination, your right to use the Service ceases. We will retain Your Data for 30 days after termination, during which you may request an export. After 30 days, Your Data will be permanently deleted.
8. Intellectual Property
8.1 Our Property
The Service, including its code, design, branding, and documentation, is owned by Future Mill Limited and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.
8.2 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a royalty-free, worldwide licence to use that feedback without restriction.
9. Third-Party Services
The Service integrates with third-party services (such as Stripe, Slack, Google, and others). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability or conduct of third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected within any particular timeframe
- The Service will meet your specific requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General
- Entire Agreement: These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
